These Terms of Service (the “Terms”) govern your access and use of the websites located at www.idscan.net and all associated websites, webpages, and social media pages (the “Websites”). These Terms create a binding agreement between you and IDScan.net, Inc. (“IDScan” or “we”). By accessing or using our Websites, you agree to these Terms. If you do not agree to these Terms, do not access or use our Websites.

PLEASE NOTE: We offer a variety of products and services. Your use of IDScan products and services provided by IDScan.net is governed by a separate agreement, accepted by you manually or electronically.  If there is a conflict between these terms and any other applicable terms or conditions covering a specific IDScan.net product or service, the other applicable terms and conditions will control.

Please read these Terms carefully.

1. Use of the Websites. Use of our Websites is limited to individuals who are at least eighteen (18) years old. If the Websites are accessed or used on behalf of another entity, the user represents that it is authorized to accept these Terms on such entity’s behalf, and such entity will be responsible for any violation of these Terms. You agree that you will only access and/or use the Website for lawful purposes, in compliance with these Terms and applicable laws. You will not use the Websites in any way that infringes any third party rights, interferes with the Websites, its features, or IDScan.net’s products or services, or violates applicable law. 

If we determine, in our sole discretion, that you have violated these Terms, we may stop providing the Websites to you, close your account, or take any other appropriate disciplinary measures to enforce these Terms. We are not liable for any violation of these Terms by you or by any other user.

2. Accounts. Some elements of the Website may require that you register an account. To create an account, you may be asked to provide an email address, cell phone number, a username, a password, and any other information as separately specified. You agree to provide only accurate, current, and complete information about you. You are entirely responsible for keeping your account username and password safe. You also agree not to sell, transfer, or share your account, username, or password, and you agree to notify us immediately if you suspect any unauthorized use of your account. We have the right to deny the creation of any account, for any reason, and we reserve the right to terminate any account that we determine violates this Agreement
3. Electronic Communications. By using our Websites or specific features that require communication, you may also receive related notifications and updates as part of your use of the Website. You agree that communications and transactions between us may be conducted electronically, and you consent to receive such electronic communications related your use of the Websites.
4. Changes. We reserve the right to modify these Terms and to modify, suspend, or discontinue our Websites at any time at any time, with or without notice to you. These Terms indicate above at “Last Updated” when these Terms were last updated or changed. Updating this date will serve as notice to you of any changes. You are solely responsible for checking these Terms periodically for any changes. Your continued access or use of the Websites mean you accept the updated Terms. If you do not accept these changes, you must stop accessing or using our Websites. 
5. Content You Submit. By using or accessing the Websites, you may be able to provide feedback, suggestions, recommendations, or other communications about the Websites or any IDScan.net products or services. You grant to IDScan.net and our affiliates a worldwide, perpetual, irrevocable, royalty-free license to use, distribute, disclose, and make and incorporate into its services any suggestion, enhancement request, recommendation, correction or other feedback provided by you relating to the Websites or any IDScan.net products or services.
6. Intellectual Property. Accessing or using our Websites does not grant you any ownership of any intellectual property rights to the content you access. You may not use any content or materials from our Websites without our permission (or any applicable third party permission), unless otherwise permitted by applicable law. 

We own and reserve all right, title, and interest in and the Websites, including all information, text, data, graphics, code, designs, and features of the Websites and any trademarks, logos, trade names, trade dress, service marks, and trade identities of IDScan.net, and other forms of intellectual property contained in the Websites.

7. Third Parties. You understand that certain portions of the Websites are made possible by third parties. You agree that we (including any of our affiliates) do not control any third parties and won’t be responsible for any losses or harm that they cause either directly or indirectly.
8. Warranties & Disclaimers. We work continuously to improve the Websites. However, for legal reasons, we offer the Websites without warranties, unless specifically stated in any other applicable terms or conditions covering a specific IDScan product or service. The law says we need to explain this with specific language in capital letters. Here is that explanation

EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, WE PROVIDE THE WEBSITES “AS IS” AND “AS AVAILABLE.” IDSCAN.NET DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, AND IDSCAN DOES NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

9. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL IDSCAN OR ANY OF OUR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO CUSTOMER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSSES OR DAMAGES, OR DAMAGES FOR SYSTEM FAILURE OR MALFUNCTION OR LOSS OF PROFITS, DATA, USE, BUSINESS OR GOOD-WILL, ARISING OUT OF OR IN CONNECTION WITH THE WEBSITES OR THESE TERMS, WHETHER ARISING IN CONTRACT, TORT, STRICT LIABILITY, STATUTE OR ANY OTHER LEGAL OR EQUITABLE THEORY.
10. Miscellaneous. You may not assign or transfer any of your rights or obligations under these Terms, in whole or in part, by operation of law or otherwise, without our prior written permission. We may assign or transfer any of our rights or obligations hereunder without your permission and without notice to you.

If any clause within these Terms is found to be invalid, unenforceable, void, voidable, or illegal, that clause will be severed and the remainder of the Terms will be given full force and effect.

All provisions of these Terms that would reasonably be expected to survive the termination of these Terms, including, without limitation, those related to intellectual property and limitation of liability, will survive.

These Terms are an agreement between you and us. There are no third-party beneficiaries except as otherwise expressly provided herein.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. The parties agree that any legal action or proceeding arising out of or relating to these Terms or the Sites shall be brought exclusively in the state or federal courts located in New York City, New York, and each party irrevocably submits to the personal jurisdiction and venue of such courts. If any provision of these Terms is held to be unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect
